By accessing our website at buildprobusiness.com, contacting us for services, or engaging BuildPro Business Services™ ("Company," "we," "us," or "our") for any web design, development, SEO, hosting, maintenance, or related digital services, you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all clients, visitors, and users of our website and services, including but not limited to promotional offers such as the 40% off new client discount.

BuildPro Business Services™ offers the following services to businesses in Virginia Beach and surrounding areas:

• Custom website design and development
• SEO (Search Engine Optimization) strategy and implementation
• Web hosting and site management
• Website redesign and re-platforming
• Website maintenance and updates
• CMS (Content Management System) development and support
• Free Starter Sites (subject to separate terms and availability)

Service scope, deliverables, timelines, and pricing will be outlined in a separate proposal, statement of work, or service agreement provided to the Client prior to commencement of work.

3.1 — 40% Off New Client Discount

The 40% off website design promotion is available to new clients only — defined as clients who have not previously contracted with BuildPro Business Services™ for website design services. This offer cannot be combined with any other discount, promotion, or offer. The Company reserves the right to modify, suspend, or terminate this promotion at any time without prior notice.

3.2 — Free Starter Sites

Free Starter Site offers are subject to separate terms disclosed at the time of the offer. Eligibility, inclusions, and limitations will be clearly communicated before work begins.

3.3 — General Promotional Terms

All promotional offers apply to new project agreements only and do not apply retroactively to existing contracts or completed work. The Company reserves the right to verify eligibility for any promotional offer.

BuildPro Business Services™ targets completion of standard website projects within 7–14 business days from the date of project kickoff, provided that the Client supplies all required content, materials, and approvals in a timely manner.

The Company will communicate project milestones, review periods, and revision rounds as part of the project scope agreement. Additional revisions beyond the agreed scope may be subject to additional fees.

All fees for services will be outlined in the project proposal or service agreement. Unless otherwise agreed in writing:

• A deposit of 50% is due before work begins.
• The remaining balance is due upon project completion, prior to site launch or delivery.
• Ongoing services (hosting, maintenance, SEO retainers) are billed monthly or annually as agreed.
• Invoices not paid within 15 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance.

To enable the Company to perform its services effectively, the Client agrees to:

• Provide all necessary content, images, copy, branding materials, and login credentials in a timely manner.
• Designate a single point of contact authorized to make decisions on behalf of the Client.
• Review and provide feedback or approval on deliverables within 5 business days of receipt, unless otherwise agreed.
• Ensure that all materials provided to the Company are owned by the Client or that the Client has the legal right to use them.
• Ensure that the intended use of the website complies with all applicable federal, state, and local laws.

7.1 — Client Content

The Client retains all ownership rights to content, images, logos, and materials provided by the Client for use in the project.

7.2 — Company Work Product

Upon receipt of full payment, the Client will own the final delivered website design and its custom code developed specifically for the Client's project. The Company retains the right to display the completed work in its portfolio and marketing materials unless the Client requests otherwise in writing.

7.3 — Third-Party Components

Websites may incorporate third-party themes, plugins, frameworks, fonts, or stock assets subject to their respective license agreements. The Client is responsible for maintaining valid licenses for any third-party components following project delivery.

If the Client purchases hosting or site management services from the Company, the following terms apply:

• The Company will use commercially reasonable efforts to maintain website uptime but does not guarantee 100% availability.
• The Client is responsible for keeping login credentials secure. The Company is not liable for security breaches resulting from the Client's negligence.
• Hosting agreements are billed in advance. Cancellation requires 30 days' written notice. No refunds will be issued for unused portions of a prepaid term.
• The Company reserves the right to take down content that violates applicable law or these Terms.

SEO results are inherently dependent on factors outside the Company's direct control, including search engine algorithm updates, competition, and the Client's industry.

The Company does not warrant that its services will be error-free, uninterrupted, or meet the Client's specific expectations beyond the agreed scope of work.

The Company's total cumulative liability to the Client for any claims shall not exceed the total fees paid by the Client to the Company in the three (3) months preceding the claim.

The Client agrees to indemnify, defend, and hold harmless BuildPro Business Services™, its owners, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• The Client's use of the services
• Any materials provided by the Client that infringe on third-party rights
• The Client's violation of these Terms or applicable law

Both parties agree to keep confidential any proprietary or sensitive business information disclosed in connection with the services. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

Either party may terminate a service agreement with 30 days' written notice. In the event of termination:

• The Client is responsible for payment for all work completed through the termination date.
• Deposits are non-refundable once work has commenced.
• The Company will deliver all completed work product upon receipt of final payment.

The Company may terminate services immediately and without notice if the Client engages in fraudulent activity, fails to make payment, or otherwise materially breaches these Terms.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia Beach, Virginia.

Before initiating any legal action, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of at least 30 days.

BuildPro Business Services™ reserves the right to update or modify these Terms at any time. Changes will be posted on our website at buildprobusiness.com and will be effective upon posting. Clients with active service agreements will be notified of material changes via email. Your continued use of our services following any changes constitutes acceptance of the revised Terms.
